Please read these Terms of Service ("Terms") carefully before using Circuit's identity verification network services.
1. Acceptance of Terms
By accessing or using Circuit's services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the service.
2. Description of Service
Circuit provides a privacy-preserving identity verification network that enables financial institutions to share verification trust without sharing personal data. Our services include:
- Identity verification orchestration
- Zero-knowledge pointer system
- Secure tunneling between institutions
- API access and integration tools
3. Eligibility
Our services are available only to:
- Registered financial institutions
- Licensed money service businesses
- Regulated fintech companies
- Other entities that pass our compliance review
You must be 18 years or older and have authority to bind your organization to these Terms.
4. Account Registration
To use our services, you must:
- Register for an account
- Provide accurate and complete information
- Maintain the security of your API credentials
- Notify us immediately of any unauthorized access
5. Acceptable Use
You agree NOT to:
- Use the service for any unlawful purpose
- Attempt to reverse-engineer our systems
- Interfere with the service's operation
- Share API credentials with unauthorized parties
- Process transactions for sanctioned entities or individuals
6. Compliance Obligations
You are responsible for:
- Maintaining appropriate KYC/AML programs
- Complying with FinCEN regulations
- Meeting your jurisdiction's data protection requirements
- Keeping accurate records as required by law
7. Service Level Agreement
Circuit provides:
- 99.9% uptime guarantee
- Multi-zone redundancy
- Automated failover capabilities
- Graceful degradation when issues occur

8. Fees and Payment
- Fees are outlined in your service agreement
- Invoices are due within 30 days
- We reserve the right to modify pricing with 60 days notice
- Overdue accounts may have service suspended
9. Intellectual Property
Circuit retains all rights to:
- Our technology and infrastructure
- Documentation and APIs
- Trademarks and branding
You retain all rights to your data and customer information.
10. Limitation of Liability
To the maximum extent permitted by law:
- Circuit is not liable for indirect, incidental, or consequential damages
- Our total liability is limited to fees paid in the preceding 12 months
- We are not liable for actions of third parties
11. Indemnification
You agree to indemnify Circuit against claims arising from:
- Your violation of these Terms
- Your violation of applicable laws
- Your customers' claims against you
12. Termination
Either party may terminate with 30 days written notice. Circuit may terminate immediately for:
- Material breach of Terms
- Violation of applicable law
- Fraudulent activity
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
14. Changes to Terms
We may modify these Terms with 30 days notice for material changes. Continued use constitutes acceptance of modified Terms.
